This end user licence agreement (the “licence”) applies to the Swopi mobile app for iOS and Android (the “app”). It is a contract between you and Swopi s.r.o., company ID (IČO) 10871659, with its registered office at Lidická 700/19, Veveří, 602 00 Brno, Czech Republic (“Swopi”, “we” or “us”). It is not a contract with Apple Inc. or Google LLC.
Our Terms of service and our privacy policy also apply when you use the app. If this licence and the Terms of service differ on the use of the app, this licence applies.
By downloading, installing or using the app, you accept this licence. If you do not agree, do not use the app.
1.Licence
1.1 We give you a limited, non-exclusive, non-transferable and revocable licence to install and use the app on devices that you own or control, for your own business or personal use. On Apple devices, you may use the app only as allowed by the Usage Rules in the Apple Media Services Terms and Conditions. On Android devices, the Google Play Terms of Service apply as well.
1.2 You must not rent, lease, lend, sell, sublicense or pass on the app to others. You must not copy, change, decompile or reverse engineer the app, or try to get its source code, except where the law allows it.
1.3 We own the app and all rights in it, or use them under a licence. This licence does not give you any other rights.
2.Account, subscriptions and purchases in the app
2.1 To use most features, you need a Swopi account. You can sign in with an email address and password, or with your Google, Apple or Microsoft account. Organisations can use single sign-on with Microsoft Entra ID.
2.2 The app is free to download. Paid plans (Pro and Event Intelligence) can be bought in the app as subscriptions. Pro and Event Intelligence come with a 14 day free trial, once per person.
2.3 Apple or Google sells and bills purchases in the app under their own terms. Subscriptions renew automatically until you cancel them at least 24 hours before the end of the current period. You manage and cancel them in your App Store or Google Play account settings. Refunds are handled by Apple or Google under their rules.
3.Permissions on your device
3.1 The app asks for access to parts of your device only when a feature needs it:
- Camera: to scan business cards, event badges and QR codes.
- Photos: to pick a profile picture or a photo to scan, and to save images.
- Contacts: to save a lead to your contacts. The app does not read or upload your existing contacts.
- Microphone and speech recognition: to dictate notes about a lead.
- Location: to show on a map where you met your contacts. This is optional.
- NFC: to read and set up Swopi NFC devices.
- Notifications: to tell you about new leads, your account and your plan.
3.2 You can turn these permissions off at any time in your device settings. Some features will then not work.
4.Maintenance and support
4.1 Swopi alone is responsible for maintaining and supporting the app, as described in this licence and the Terms of service, or as the law requires. For support, write to info@swopi.co.
4.2 Apple and Google have no duty at all to provide maintenance or support for the app.
5.Warranty
5.1 To the extent that the law does not allow us to exclude them, Swopi alone is responsible for any warranties for the app, whether they come from the law or from us.
5.2 If the app does not meet an applicable warranty, you may tell Apple, and Apple will refund the price you paid for the app, if any. As far as the law allows, Apple has no other warranty duty for the app. Any other claims, losses, liabilities, damages, costs or expenses caused by a failure of the app to meet a warranty are Swopi's responsibility, to the extent that they are not validly excluded.
5.3 Apart from this, the app is provided as it is and as available, as described in the liability section of our Terms of service. Swopi AI output can be wrong, so check it before you rely on it.
6.Product claims
6.1 Swopi, not Apple, is responsible for dealing with any claims from you or from others about the app or your use of it. This includes (a) product liability claims, (b) claims that the app does not meet a legal or regulatory requirement, and (c) claims under consumer protection, privacy or similar laws.
6.2 This licence does not limit Swopi's liability to you beyond what the law allows.
7.Intellectual property claims
7.1 If someone claims that the app, or your use of it, breaks their intellectual property rights, Swopi, not Apple, alone is responsible for investigating, defending, settling and resolving the claim.
8.Legal compliance and export
8.1 You confirm that (a) you are not in a country that is under a United States Government embargo, or that the United States Government has named as a “terrorist supporting” country, and (b) you are not on any United States Government list of prohibited or restricted parties. You also confirm that you are not subject to sanctions of the European Union.
8.2 You must follow all export and sanctions laws that apply to your use of the app.
9.Terms of other providers
9.1 When you use the app, you must also follow the terms of other providers that apply, for example the terms of your mobile network or internet provider.
9.2 On Android, the Google Play Terms of Service apply as well. Google is not a party to this licence and is not responsible for the app.
10.Apple as third party beneficiary
10.1 Apple and its subsidiaries are third party beneficiaries of this licence. When you accept this licence, Apple has the right (and is treated as having accepted the right) to enforce this licence against you as a third party beneficiary.
11.End of the licence
11.1 This licence lasts until you or we end it. It ends automatically if you break it. You can end it at any time by deleting the app and your account.
11.2 When the licence ends, you must stop using the app and delete it from your devices.
12.Governing law
12.1 This licence is governed by the laws of the Czech Republic. Disputes are decided by the Czech courts that have jurisdiction for our registered office in Brno. If you are a consumer, you keep the protection of the mandatory laws of the country where you live, and you can also bring a claim in the courts there if the law allows it.
