These terms are a contract between you and Swopi s.r.o., company ID (IČO) 10871659, VAT ID CZ10871659, with its registered office at Lidická 700/19, Veveří, 602 00 Brno, Czech Republic, registered in the Commercial Register kept by the Regional Court in Brno, file C 123287 (“Swopi”, “we”, “us” or “our”). You can reach us at info@swopi.co or +420 774 915 861.
These terms apply when you use the Swopi mobile app for iOS and Android, the web dashboard at dash.swopi.co, digital business cards at swopi.co and any related Swopi service (together the “services”). Buying physical products such as NFC cards in our shop is covered by our shop terms. How we handle personal data is described in our privacy policy.
By creating an account or using the services, you accept these terms. If you use the services for a company or another organisation, you accept these terms on its behalf and confirm that you are allowed to do so. In that case, “you” also means that organisation. If you do not agree with these terms, do not use the services.
In these terms, these words have this meaning:
- Account: your user account in Swopi.
- Card: your digital business card (profile) with the details you choose to show. Each card has a public link, for example swopi.co/yourname.
- Device: a physical NFC card, tag, band, wallet or other product that holds a permanent link. When you pair a device with your account, it opens your card.
- Lead: the contact details of another person that you capture or import into Swopi, for example by scanning a business card or event badge, through the form on your card, or by typing them in.
- Organisation: a company or other group that uses Swopi for its team. Its admins manage the cards, leads and settings of its members.
- Swopi AI: the automated features of the services, such as reading scans, enriching leads, the intent score and drafting follow-up emails.
- Business customer: anyone who uses the services for their business or profession. Consumer: a person who uses the services outside their business or profession.
1.The services
1.1 With Swopi you can:
- create digital business cards and share them by link, QR code, NFC device, Apple Wallet and Google Wallet,
- capture leads by scanning business cards, event badges and LinkedIn QR codes, through a form on your card, or by hand,
- use Swopi AI to read scans, enrich leads with business data from data partners and public sources such as company registers, score their intent and draft follow-up emails,
- sync leads to your CRM and export them, and
- manage the cards, leads and settings of a whole team in the web dashboard.
1.2 Which features you can use, and how much, depends on your plan (section 4). We keep improving the services, so features can change. If we remove a main feature of a paid plan during a period you have already paid for, you can cancel and we will refund the unused part of that period.
1.3 The services are business tools for adults. You must be at least 18 years old to create an account.
2.Your account
2.1 You can sign in with an email address and password, or with your Google, Apple or Microsoft account. Organisations can also use single sign-on (SSO) with Microsoft Entra ID. Accounts that were created with Facebook in the past can still sign in with Facebook. When you sign in through one of these services, we use the name, email and photo that it shares with us to set up your account.
2.2 You must give true details and keep them up to date. Keep your sign-in details safe and tell us at once at info@swopi.co if you think someone else has used your account. You are responsible for what happens in your account.
2.3 An account is for one person. Do not share it. Do not create new accounts to get another free trial or new free limits. If you do, we may close those accounts and charge the normal price for the plan you used.
2.4 You can delete your account at any time in the app or in the dashboard. If your account belongs to an organisation, its admin may need to remove you first.
3.Organisations and teams
3.1 Admins of an organisation can invite and remove members, create and edit their cards, lock the card design, see the team's leads and statistics, and connect SSO and SCIM provisioning with Microsoft Entra ID.
3.2 If you join an organisation, its admins can see and manage your card and the leads you capture for the organisation. If you leave, the leads you captured for the organisation stay with the organisation.
3.3 The organisation is responsible for its admins and members, and for the use of the services under its plan.
4.Plans, trials and payment
4.1 Plans. We offer these plans: Free, Pro, Event Intelligence, Teams (priced per user, with a minimum number of users) and Event Lead Capture (a company licence with unlimited users at the booth, agreed in a quote or order form). The current features, limits and prices are shown on our pricing page and in the app. For Event Lead Capture, the quote or order form applies together with these terms, and it takes priority if the two differ.
4.2 Free trial. Pro and Event Intelligence come with a 14 day free trial. Each person can use a free trial only once. If you do not cancel before the trial ends, the trial turns into a paid subscription. For purchases in the app, cancel at least 24 hours before the trial ends, as the App Store and Google Play require. Teams and Event Lead Capture have no free trial unless we agree otherwise in writing.
4.3 Purchases in the app. If you buy a subscription in the app, Apple (App Store) or Google (Google Play) sells and bills it under their own terms. They handle the payment, renewal, cancellation and refunds. You manage the subscription in your App Store or Google Play account settings. We cannot refund these purchases ourselves.
4.4 Purchases on the web. If you buy a subscription in the web dashboard, you pay through our payment provider Stripe, by card or another method shown at checkout. Teams and Event Lead Capture can also be paid by invoice. An invoice must be paid by its due date. If no due date is stated, it is 14 days from the date of the invoice.
4.5 Renewal and cancellation. Subscriptions renew automatically every month or every year, depending on what you chose, until you cancel. You can cancel at any time. The cancellation takes effect at the end of the period you have already paid for, and you keep access until then. We do not refund unused parts of a period, except where these terms or the law say otherwise.
4.6 Prices and VAT. Prices in the App Store and Google Play include VAT as shown by the store. For consumers, prices on the web include VAT. For business customers, prices on the web and in quotes are without VAT, and VAT is added where the law requires it. Business customers in another EU country with a valid VAT ID are invoiced under the reverse charge rules.
4.7 Changes to prices and plans. We may change prices and the structure of plans, including the minimum number of users. We will tell you at least 30 days before a change affects your subscription. The change applies from your next billing period. If you do not agree, you can cancel before it applies. For purchases in the app, the store may also ask you to confirm a new price.
4.8 Late payment. If you do not pay an invoice on time, we will remind you. If it is still not paid, we may limit or pause your paid features until it is paid, and charge late payment interest as the law allows. Creating a new account to avoid an unpaid invoice is a breach of these terms.
5.Limits and fair use
5.1 Each plan has monthly limits, for example for scans and for leads enriched by Swopi AI. The limits are shown on the pricing page and in the app. Unused limits do not carry over to the next month.
5.2 Where a plan is “unlimited” (for example the number of users in Event Lead Capture) or has no stated limit, fair use applies. Fair use means normal use by the licensed team for its own business. If your use is much higher than normal for similar customers, is automated, or is shared with people outside the licensed company, we will contact you to agree a limit or a better fitting plan.
5.3 To protect the services, we may slow down or pause a feature if we see abuse, for example large numbers of automated requests.
6.Leads and your responsibility for contact data
6.1 When you capture, import or enrich a lead, you decide why and how that person's data is used. Under the General Data Protection Regulation (GDPR), you (or your organisation) are the controller of that data, and we process it for you as a processor. For business customers, our data processing agreement (DPA) applies and is part of these terms. You can ask for it at info@swopi.co.
6.2 You are responsible for using leads lawfully. In particular, you must have a legal basis to collect, enrich, store and contact each lead (for example your legitimate interest in following up a meeting at an event), tell people how you use their data where the law requires it, respect their requests (for example to see or delete their data, or to stop contact), and follow the rules on email marketing and spam in the countries where you send emails.
6.3 Only capture the details of people you have actually met or who gave you their details. Do not use Swopi to build lists of people you have had no contact with, to sell or pass on contact data, or to store sensitive data such as health data.
6.4 Follow-up emails that you send through Swopi are sent in your name. You are responsible for their content and for choosing who gets them.
6.5 If a person contacts us about their data in your account, we will pass the request to you, or help you answer it, as set out in the DPA.
7.Swopi AI
7.1 Swopi AI uses automated tools and AI models, including models from other providers. Our privacy policy lists them.
7.2 AI output can be wrong, incomplete or out of date. A scan can misread a name, enrichment can match the wrong person or show an old job title, email or phone number, and a follow-up draft can contain mistakes. Check the output before you rely on it, before you send an email and before you sync a lead to your CRM. The intent score is an estimate, not a fact.
7.3 Do not use Swopi AI output as the only basis for decisions that have legal or similarly important effects on a person.
7.4 We do not use your leads or your content to train AI models. Our AI providers are not allowed to use them to train their models.
8.Your content and your public card
8.1 You keep all rights to the content you add to Swopi, such as your card details, photos, logos, files, notes and leads. You give us a non-exclusive, worldwide and free licence to host, copy, show and process this content only as needed to provide, secure and support the services for you. The licence ends when the content is deleted, except for copies we must keep by law.
8.2 Your card is public. Anyone with its link, QR code or NFC device can see what you put on it, save it and pass it on, just like a paper business card. We cannot control what they do with it. Only put details on your card that you are happy to share.
8.3 You must have the right to use all content you add. Do not add content that is illegal, breaks the rights of others (for example copyright or trademarks), is misleading, or could harm others.
8.4 If content breaks these terms or the law, we may remove it or pause the card, and we will tell you why unless the law does not allow it. You can report content that you think is illegal to info@swopi.co.
9.Acceptable use
9.1 When you use the services, you must not:
- break the law or the rights of others,
- send spam or unwanted mass messages,
- copy, scrape or collect data from the services or from other users' cards by automated means,
- copy, change, decompile or reverse engineer the software, except where the law allows it,
- try to get around limits, payments or security, or test the security of the services without our written permission,
- upload viruses or other harmful code,
- pretend to be someone else, or
- sell, rent or give access to the services to others without our written agreement.
9.2 If you find a security problem, please tell us at info@swopi.co.
10.Our rights
10.1 We own the services, including the software, design, texts, logos and the Swopi name, or we use them under a licence. These terms do not transfer any of these rights to you.
10.2 We give you a limited, non-exclusive, non-transferable and revocable right to use the services for their purpose, in line with these terms and your plan, for as long as you have an account.
10.3 Do not remove or change our copyright notices, logos or trademarks. Do not use our name or logos without our written consent, except to say truthfully that you use Swopi.
10.4 If you send us ideas or feedback, we may use them freely and without payment.
11.Other services you connect
11.1 You can connect Swopi to other services, for example your CRM (such as HubSpot, Salesforce, Pipedrive, Microsoft Dynamics or Raynet), Microsoft Entra ID, Apple Wallet or Google Wallet. When you connect a service, you instruct us to send the chosen data to it. The terms and privacy policy of that service apply to it.
11.2 We are not responsible for other services, for how they handle data, or for changes to them that stop a connection from working. We will do our best to keep connections working.
12.Availability and support
12.1 We work to keep the services available and secure, but we cannot promise that they will always work without breaks or errors. We may need to pause them for maintenance or updates. Where we can, we do this at quiet times and tell you in advance.
12.2 We give support by email at info@swopi.co. Event Lead Capture includes onboarding and priority support as set out in the quote or order form.
12.3 You can export your leads at any time, for example as a CSV file, as vCards or to your CRM. We recommend that you keep your own copy of important data.
13.Liability
13.1 We provide the services as they are and as available. As far as the law allows, we do not promise that they are fit for a particular purpose, or that data from scans, enrichment or other sources is correct or complete.
13.2 We are not liable for loss caused by: AI output or enrichment data that you did not check, other services that you connect, your own breach of these terms or of the law, or events outside our reasonable control (for example outages of the internet, of app stores or of our providers).
13.3 For business customers, we are not liable for indirect loss, lost profit, lost business or lost revenue. Our total liability for all claims in any 12 month period is limited to the amount you paid us for the services in the 12 months before the event that caused the claim. If you use only free plans, it is limited to EUR 100.
13.4 The limits in this section do not apply to harm caused on purpose or by gross negligence, to harm to a person's life or health, or to any other liability that cannot be limited under Czech law.
13.5 If you are a consumer, nothing in these terms limits the rights that the law gives you and that cannot be excluded.
13.6 If you are a business customer and someone makes a claim against us because you used leads or content in breach of these terms or the law, you will cover our reasonable costs and any amounts we must pay because of it.
14.Suspension and ending
14.1 You can stop using the services and delete your account at any time.
14.2 We may pause or close your account if you seriously or repeatedly break these terms, do not pay, or if the law requires it. Where it is reasonable, we will warn you first and give you time to fix the problem.
14.3 We may also stop a service for everyone. In that case we will tell you at least 30 days in advance and refund the unused part of any period you have paid for on the web. For purchases in the app, refunds are handled by Apple or Google.
14.4 After your account is closed, we delete your data as described in our privacy policy. Export anything you want to keep before you delete your account.
15.Rights of consumers
15.1 Right of withdrawal. If you are a consumer and buy a subscription on the web, you have the right to withdraw from the contract within 14 days without giving a reason. When you start a paid plan, you ask us to start providing it at once. If you then withdraw, we refund what you paid, minus a part that matches the time you already used the paid plan. To withdraw, write to info@swopi.co. For purchases in the app, the refund rules of the App Store or Google Play apply.
15.2 Out of court disputes. If you are a consumer and we cannot solve a complaint together, you can turn to the Czech Trade Inspection Authority (Česká obchodní inspekce, www.coi.cz), which handles out of court settlement of consumer disputes. Consumers in other EU countries can also get help from the European Consumer Centre in their country.
15.3 The Czech Trade Inspection Authority also supervises how we meet our duties to consumers.
16.Changes to these terms
16.1 We may change these terms, for example when we change the services or when the law changes. We will tell you about important changes by email or in the app at least 30 days before they take effect. If you do not agree, you can cancel your subscription and delete your account before the change takes effect. If you keep using the services after that, the new terms apply.
16.2 Small changes that do not affect your rights, such as clearer wording, can take effect when we publish them. The date at the top of this page shows the last update.
17.Governing law and courts
17.1 These terms are governed by the laws of the Czech Republic. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live.
17.2 Disputes with business customers are decided by the Czech courts that have jurisdiction for our registered office in Brno. Consumers can also bring a claim in the courts of the country where they live, if the law allows it.
18.Other provisions
18.1 These terms, together with our DPA and any quote or order form, are the whole agreement between you and us about the services.
18.2 If a part of these terms is invalid, the rest stays valid, and the invalid part is replaced by a valid rule that is as close as possible to its purpose.
18.3 We may transfer this contract to another company, for example if Swopi is sold or merged. Your rights under these terms will not be reduced by this. You may transfer your rights only with our written consent.
18.4 If we do not enforce a right at once, we do not give it up.
18.5 These terms are written in English. A Czech version is available on request. We send notices to the email address in your account.
